Referral partner terms

1. The program

The program is operated by Kovra Pte. Ltd., Singapore registration number 202523894G. It covers introductions that lead to customers purchasing services directly from Kovra. Contact info@kovragroup.com about applications, referral attribution or payments.

It does not cover investments, acquisitions, exits, fundraising or other transactions involving Kovra Ventures. Any such arrangement requires a separate written agreement.

2. Joining the program

Individuals and businesses may apply. You must be legally able to enter into the agreement and authorised to act for any business you represent. Applying, submitting a referral or receiving an automated acknowledgement does not mean you have been accepted.

Participation begins when both parties agree to these terms and Kovra confirms acceptance in writing. The program is non-exclusive. You are not required to meet a referral quota or deliver services to the referred client.

3. Registering an introduction

Submit the brand, its website, your relationship with the team and the relevant opportunity through the referral form or by email. Kovra confirms in writing whether the referral is accepted, the engagement it covers and the applicable terms.

A referral should be a genuine introduction to a business that is not already an active Kovra client or in an active sales discussion with Kovra. Existing contacts, former clients, previously submitted opportunities and introductions made before joining are reviewed individually. Any exception must be recorded in writing.

Where more than one person refers the same opportunity, Kovra reviews the dated submissions and the actual introductions before confirming attribution. Commission is not duplicated; any split must be agreed in writing.

4. The referral window

the referred business must sign the qualifying service agreement within 180 calendar days of written referral acceptance. The window may be extended in writing where a discussion is progressing. Acceptance does not guarantee a sale.

The acceptance identifies the client entity and engagement. Other entities in the same group, separate brands and subsequent projects are included only if confirmed in writing.

5. Commission rates

Subscriptions: 20% of eligible fees attributable to the first 12 calendar months of the accepted subscription engagement. A subscription means the client’s recurring service engagement with Kovra, not a subscription product sold by the client.

the 12-month period begins on the subscription service start date in the client agreement. Pauses and renewals do not restart it. Prepaid fees are allocated to the service period they cover; only the portion within the first 12 months qualifies. A late client payment can still qualify if it relates to eligible service within that period.

One-off projects: 10% of eligible fees collected for the project identified in the referral acceptance, including approved scope changes to that project. Separate future projects require their own written confirmation.

Where an engagement includes both subscription and one-off work, fees are allocated to the relevant service lines. The same fee cannot earn both rates. Any separately agreed rate or scope must be recorded before the relevant engagement is accepted.

6. Eligible fees and adjustments

eligible fees are Kovra service fees actually received and retained, after discounts and credits. They exclude GST, VAT and similar taxes, refunded or charged-back amounts, advertising spend, third-party software charges and reimbursed or pass-through costs. Unpaid invoices do not earn commission.

If a client cancels, no commission is earned on services they do not pay for. If qualifying fees are refunded after commission has been paid, the related commission is adjusted against future payments or repaid. Kovra provides a calculation of the adjustment. A cancellation does not erase commission on fees retained for eligible work already delivered.

7. Statements and payouts

Kovra calculates commission monthly and pays undisputed amounts within 30 calendar days after the end of the month in which the client’s cleared payment is received. A statement identifies the referral, eligible fees, rate, adjustments and commission due.

Payment requires the agreed invoice or payment documentation and complete payee details. Where documentation is missing, payment follows within 30 days of its completion. Banking details are collected separately during payout onboarding, not through the public referral form.

The payout currency and method are agreed on acceptance. Any currency conversion method or transfer charges must be disclosed in advance. Each party handles its own applicable taxes; legally required withholding is documented. Raise calculation questions at info@kovragroup.com so the parties can reconcile them.

8. Responsible introductions

Make accurate introductions and describe your relationship with Kovra honestly. Do not promise outcomes, quote binding prices, sign agreements on Kovra’s behalf, use unapproved marketing materials or represent yourself as a Kovra employee.

Disclose your commission relationship to the referred business and obtain any permission required by your employment, advisory duties or other commitments. Undisclosed payments to a prospective client’s employees or decision-makers are not permitted. Self-referrals or referrals to a business you control require prior written approval.

Do not use spam, scraped contact lists or misleading claims. You cannot incur costs on Kovra’s behalf without prior written authorisation.

9. Information and confidentiality

Share only information you are authorised to provide. Prefer a warm introduction and relevant business context. Obtain appropriate permission before sharing another person’s contact details or confidential information. Do not send sensitive personal information through the form.

Both parties must protect non-public client, commercial and payout information received through the program and use it only for the agreed referral relationship, except where disclosure is required by law. Information about an enquiry is handled as described in Kovra’s Privacy Policy; payout information requires a separate notice when collected.

10. Changes and ending participation

either party may end participation by written notice. Kovra may suspend a disputed referral or end participation for fraud, unlawful conduct or a material breach. The parties should document the reason and reconcile any affected commission.

Ending participation does not by itself remove earned commission or shorten the agreed earning period of an already accepted referral. Those referrals continue under their accepted terms, subject to client payment, agreed adjustments and any established breach affecting the referral.

Program changes apply to future referral acceptances. Previously accepted referrals retain their agreed rates and conditions unless both parties agree otherwise in writing.

11. Relationship and governing terms

The parties act independently. This program does not create employment, a legal partnership, a joint venture or authority to bind the other party. Kovra decides whether to accept an opportunity and whether to enter into a client engagement.

The agreement is governed by Singapore law, with the Singapore courts having non-exclusive jurisdiction, subject to mandatory applicable law. A separately signed partner agreement prevails where its terms differ. These terms apply to referrals accepted on or after 21 October 2026. Participation and individual referrals still require written acceptance.
